Transformation of the chosen company into another legal entity

Abstract:

Diplomová práce "Transformace vybraného podniku na jiný právní subjekt" pojednává o možnostech transformace obecně prospěšné společnosti na jinou právní formu. Úvodem jsou zmíněny a vysvětleny pojmy, které přibližují problematiku sociálního podnikání. Další část diplomové práce se zabývá rozdělením právních norem z hlediska občanského zákoníku a zákona o obchodních korporacích. Dále jsou popsány potřebné kroky, které musí společnost učinit při změně právní formy. Mezi hlavní úkony přeměny patří zhotovení projektu změny právní formy, zprávy o přeměně, sestavení účetní závěrky, ocenění jmění znaleckým posudkem, podání návrhu na zápis změny do obchodního rejstříku a v neposlední řadě stanovení rozhodného dne. Součástí této práce je nástin transformace obecně prospěšné společnosti na ústav, nadaci, nadační fond a na sociální družstvo.

Abstract:

The aim of this thesis, called Transformation of a selected corporation into another legal entity, is to examine the possibilities of a transformation of a public-benefit corporation into another legal form. Terms related to social business issues are mentioned and explained at the beginning of this thesis. The next part of this thesis deals with the division of legal norms in terms of the Civil Code and the Law on Business Corporations. Then there is a description of necessary steps that a company must make in order to change its legal form. The main tasks of transformation include submitting a layout of the change of the legal form and a report on the change, preparing closing entries and property assessment, submitting a transformation proposal to the Commercial Register, and determining the date of the change. An outline of a public-benefit corporation transformation into other institution, foundation, endowment fund, and social cooperative forms a part of this thesis.
