Merger and Acquisition as a way of further expanding a company

Abstract:

Diplomová práce se zabývá fúzemi a akvizicemi obecně i jejich využitím v praxi. Přibližuje historii fúzí a akvizic a jejich aktuální postavení na trhu u nás i ve světě. Popsány jsou formy a právní úprava fúzí a akvizic, průběh akvizičního procesu. Jsou uvedeny důvody pro akvizice a fúze, jakých chyb se lze při realizaci fúzí a akvizic dopustit. Znázorněny jsou schématické příklady financování akvizic. V aplikační části je popsána jedna z větších akvizic v České republice z nedávného období. Je zde uvedena pozice účastníků transakce, důvody akvizice a průběh akvizice. V číslech a grafech jsou srovnány původní předpoklady s výsledky po ukončení akvizice. Cílem diplomové práce bylo zmapovat problematiku fúzí a akvizic u nás a ve světě, jejich výhody a rizika a tyto poznatky ukázat na konkrétním případu z praxe. Záměrem bylo danou problematiku shrnout a ilustrovat jejich aplikaci v podmínkách české ekonomiky.

Abstract:

This dissertation deals with mergers and acquisitions in general and with their application in practice. The work describes the history of mergers and acquisitions and their current position in business in our country and abroad. Forms and legislative rules of mergers and acquisitions are described therein, as well as workflow of acquisitions. Reasons for mergers and acquisitions are introduced and also the mistakes which can be made during their application. Schematic models of the financing of acquisitions are presented. The applied part of the dissertation deals with one of the bigger acquisitions which has been realized in the Czech Republic in recent years. The positions of companies which took part in the transaction are stated there as well as the course of the transaction. The original assumptions and results after completion of the transaction are compared on the basis of several numbers and charts. The aim of the dissertation was to map the problems of mergers and acquisitions, their advantages and possible risks, and to demonstrate the findings in one particular business case. The aim was to summarize the issues and illustrate their application in terms of our country.
