The process of restructuring of the ZOOT a.s.

Abstract:

Cílem práce je analyzovat průběh reorganizace v České republice na konkrétním subjektu, společnosti ZOOT a.s. Analýza zahrnuje zhodnocení příčin úpadku, průběhu reorganizace a tržního postavení ZOOTu. Práce se skládá ze dvou částí.Teoretická část popisuje kritéria úspěšného zvládnutí reorganizace, její úpravu v zákoně, průběh a rizika, která se s reorganizací pojí.Praktická část pojednává o vývoji společnosti ZOOT a jejím obchodním modelu. Analýza odvětví se zabývá analýzou české ekonomiky a odvětví e-commerce se zaměřením na módu. Hlavní částí práce je oficiální řešení krize společnosti ZOOT dle insolvenčního zákona, identifikace a proměna struktury věřitelů a míra uspokojení plynoucí z reorganizace pro jednotlivé věřitelské skupiny. Zjištění z provedených analýz jsou v závěru propojena a vyhodnocena pomocí SWOT analýzy.

Abstract:

The aim of this diploma thesis is to analyze the process of restructuring in Czech republic on the specific subject, company ZOOT a.s. The analysis includes evaluation of the causes of bankruptcy, the process of restructuring and market position. The thesis consists of two parts.The theoretical part describes criteria for successful completion of restructuring, the coverage of this topic by insolvency law, its process and restructuring risks.The practical part describes the history of company ZOOT and its business model. The industry analysis covers the development of Czech economy and e-commerce segment with the focus on apparel. The main part consists of the official solution of the crisis by insolvency law, identification and change of the creditor structure and rate of return resulting from the restructuring for individual creditor groups. The results from individual analyses are evaluated together with the help of SWOT analysis.
