General Conditions of Contract in International Trade

Abstract:

Tato diplomová práce se zabývá tématem všeobecných obchodních podmínek v mezinárodním obchodě. Cílem této práce je nastínit některé problematické jevy související s využitím obchodních podmínek v režimu Úmluvy OSN o smlouvách o mezinárodní koupi zboží a stručně tuto úpravu srovnat s úpravou obsaženou v občanském zákoníku. Jádrem této práce jsou druhá až pátá kapitola. Ty se soustředí na rozbor platnosti a inkorporace obchodních podmínek dle Úmluvy, jakož i na analýzu řešení bitvy forem a problematiky překvapivých ujednání, se zaměřením na odlišný jazyk obchodních podmínek.

Abstract:

This thesis examines the topic of standard terms in international business. The aim of the thesis is to introduce some problematic issues related to the usage of standard terms according to the United Nations Convention on Contracts for the International Sale of Goods and to briefly compare this regulation with rules arising from Czech Civil Code. The core of this thesis lays in the second to fifth chapter. In these chapters, the thesis focuses on analysing validity and incorporation of standard terms according to the Convention, as well as on a solution of battle of forms and surprising terms with accent to the language of standard terms.
