Unfair competition in current legal regulation of the Czech Republic and Germany

Abstract:

V souladu se zásadami pro vypracování této bakalářské práce jsem se pokusila provést rozbor ustanovení současných platných zákonů, které upravují nekalou soutěž v České republice a v Německu. Už při pohledu na formální úpravu této problematiky v obou zemích je patrný zřetelný rozdíl – zatímco německé právo se ubírá cestou komplexní právní úpravy práva proti nekalé soutěži v jednom zákonném předpise, česká nekalosoutěžní úprava je součástí zákona č. 513/1991 Sb., obchodního zákoníku. S ohledem na zadání práce je podrobněji zmíněna zvláště obecná skutková podstata, tedy generální klauzule (tj. § 44 odst. 1 obchodního zákoníku), a příslušné ustanovení německého UWG (Gesetz gegen den unlauteren Wettbewerb, dále jen UWG). Podobnost koncepce generálních klauzulí skončila s okamžikem zásadní právní úpravy, kterým UWG na počátku tisíciletí prošel (ovšem i před tím byla konstrukce německé klauzule odlišná ve znění jednoho z pojmových znaků, tj. „dobré mravy“, na rozdíl od českých „dobrých mravů soutěže“¨). Nejen tato zásadní změna staví dnešní německý zákon proti nekalé soutěže mezi moderní, koncepčně ucelené a přehledné předpisy. Třetí část práce je věnována krátkému hodnocení soudobé evropské politiky týkající se regulace v oblasti hospodářské soutěže a ochraně spotřebitele, jejímu vývoji a stanoveným cílům. V závěru práce jsem se pokusila provést srovnání obou právních úprav.

Abstract:

The theme of my bachelor’s thesis is „Actual legal regulation of unfair competition law in Czech Republic and Germany“. In accordance with the thesis demands, I tried to approach fundamental conceptions, namely competition law, competitors, consequences of an infringement upon unfair competiton etc. at the beginning of thesis. In following parts of the thesis, Czech and German legal regulations are described. Czech regulation of the law againgst the unfair competition is included into the act No. 513/1991 (Commercial Codex). The regulation containts the general clause determination, samples of unfair activities, and procedural questions. German regulation is formed in one coherent act, Law against Unfair Competition (Gesetz gegen den unlauteren Wettbewerb, so called UWG). In 2004, this act was completely reorganized and revised (the old one, since 1909 untill this revision stayed in validity). This modernization addresses European Union demands for greater liberalization and consumer protection. Now, this act against unfair competition protects competitors, consumers and other market participants against unfair competition acting. The special attention was dedicated to general clauses in both legal regulations. Whereas the Czech version of the general clause is still „old-fashioned“, and fair morale in competition is accessed so far, the German act was liberated on this course. Fundamental change is approaching the scope of the general clause (actually, new law does not protect against ordinary torts in business). The German legal regulation of the unfair competition is more clearly arranged in the new UWG and thus more transparent. The act respects attractive and actual ways of business and goods offers but guarantees the protection of consumers on high level, too. In accordance with previous notices, Czech regulation of this legal area might be inspirated by the German way, especially in the form of the regulation. Partial regulation in the scope of Czech Commercial Codex and other acts causes kinds of misunderstandings and non-accuracy especially concerning of the European Union directives implementation
