Evaluation of a company using free cash flow method

Abstract:

Předmětem mé diplomové práce je pojednání o postupech a metodách ocenění podniku a následně jeho vypracování. Cílem práce je stanovení hodnoty konkrétní společnosti – společnosti HOCHTIEF CZ a.s., k určitému datu. Práce je rozdělena do dvou celků: teoreticko-metodologická část a aplikační nebo-li praktická část. První celek představuje teoreticko-metodologický základ, který bude dále sloužit pro nastínění daného problému v praxi. Zabývá se především teoretickým základem, definice podniku a právní úprava ocenění. Je zde podrobněji popsáno, kdy podnik přistupuje k ocenění. To je základem pro následující kapitolu, ve které podrobněji popisuji postup při ocenění. V závěru teoretické části jsou popsány jednotlivé metody oceňování. V aplikační (nebo-li praktické) části jsou soustředěny poznatky z teoretické části a na příkladě ukázán celý proces ocenění konkrétního podniku. Tato část je zpracována v souladu s poznatky uvedenými v teoretické části, tedy je zde vysvětlen účel ocenění, uvedena přesná charakteristika společnosti, analyzováno makro a mikro prostředí, provedena finanční analýza, vytvořen finanční plán a v závěru je podnik pomocí metody volných peněžních toků oceněn. Tato diplomová práce ukázala a zároveň potvrdila pesimistické prognózy ve stavebnictví. Hodnota společnosti HOCHTIEF CZ a.s. k 31.12.2007 byla stanovena na 11.676.214.000Kč.

Abstract:

The subject of this thesis is an exposition of evaluation techniques and methods followed by a business case elaboration. The goal of this thesis is to set the value of a company – HOCHTIEF CZ a.s. by a specific date. This thesis consists of two parts: a theoretical and a practical part. The first part represents theoretical base which will be used for showing the particular problem in the working experience. This part deals with theoretical base, company definition and legal form of an evaluation. There is described in detail when a company needs its evaluation. This is a base for another chapter where the specific evaluation process is explained in detail. There are defined particular evaluation methods in the end of the first part. All findings from the theoretical part are concentrated in the practical part. There is a practical example which shows the whole process of evaluation. This part is processed conformable with findings from the theoretical part, the following issues are explained: the goal of evaluation, company characteristics, macro and micro analysis, financial analysis is done, financial plan is set and the company is evaluated using free cash flow method in the end of this second part. This thesis shows and confirms pessimistic prognosis of building industries. The value of HOCHTIEF CZ a.s. by December 31, 2007 was set on 11.676.214.000CZK.
