Abstract:

Abstrakt Cílem mé bakalářské práce je formulovat význam fúzí a akvizic v dnešní ekonomice, definovat důvody fúze v konkrétním praktickém případě, ukázat, jak v praxi postupovat při procesu fúze v komunikaci s úřady při zápisu fúze a přesně popsat následné majetkové transformace obou společností. Tato práce je rozdělena do devíti hlavních kapitol, které jsou dále členěny na podkapitoly. První kapitola je obsahuje základní terminologii, druhá historii akvizic a fúzí v národním i světovém měřítku. Třetí kapitola je věnována motivům spojování společností, zásadám úspěšnosti a rizikům akvizičního procesu. Čtvrtá kapitola se zabývá fenoménem zvaným Rebranding - tedy vnímáním veřejnosti na změnu podniku, pátá kapitola shrnuje právní úpravu prodeje podniku. V šesté kapitole najdeme metodický postup a způsob ocenění podniku. Aplikační část pokračuje sedmou kapitolou, která se věnuje představení obou zúčastněných společností. Osmá nám shrnuje seznam předkládané dokumentace, kterou je třeba doložit k zápisu fúze. Poslední kapitola definuje důvody a vlivy fúze splynutím na akcie a právní postavení akcionářů společnosti. V průběhu zpracování bakalářské práce jsem si prohloubila vědomosti v problematice fúzí a akvizic. Obstojně jsem doplnila své praktické zkušenosti podloženou teorií.

Abstract:

Abstract / Abstrakt Subject of this work is to formulate the importace of mergers and acquisitions in nowadays economics, define the reasons of merger in the concrete practical case, to show - how to act in comunication with the municipal court and describe the asset transformation of both companies in consequence. This work is divided into nine chapters that are further split into subchapters. The first chapter includes the basic terminology, second deals with the history of mergers and acquisitions on the national and world base us well. Third chapter is dedicated to the motives that lead companies to merging, to success principles and to risk connected with the acquisition process. Fourth chapter deals with the phenomena Rebranding – how the public perceive the changes of the enterprise, fifth chapter summarize legislative part. In chapter six we can find procedure of the merger and evaluation of the enterprise. Practical part continues in chapter seven where both enterprises are presented. Eight chapter summarize the registration documents needed. Last chapter defines reasons and influence of merger over the shares. By elaborating of this work I enlarged my knowledges about the theme of mergers and acquisitions. I fairly improved my practical knowledges by the acquired theory.
