Arbitration and Cultural Specifics - Case of China

Abstract:

Práce „Rozhodčí řízení a kulturní specifika – příklad Číny“ se zabývá velmi aktuální, avšak lehce opomíjenou problematikou. Vliv kultury na průběh mezinárodních obchodních transakcí je zřetelně identifikovatelný, bohužel však prozkoumaný nepříliš zblízka. Množství literatury věnované Číně a její kultuře, avšak pouze několik málo publikací řeší problematický vztah mezi řešením sporů a vlivem kulturních specifik. Čínská kultura má dlouhou a bohatou historii a ačkoli se může nezasvěcenému pozorovateli jevit jako velmi pozápadněná, stále si zachovává silná regionální zvláštnosti. Čínský překotný růst ekonomiky přilákal bezpočet západních společností, z nichž mnohé byly do Číny přivedeny touhou po rychlém zbohatnutí. Ty společnosti, které se staly obětí svých špatných investičních rozhodnutí, nyní řeší důležitou otázku – Jak efektivně vyřešit spor se svými čínskými partnery? Při jednání s číňany je nutné brát v potaz nikoli pouze smlouvy a právo, ale také specifika čínské kultury, která majuí značný vliv na průběh a následný výsledek sporu. Termíny jako guanx a Tvář jsou nedílnou součástí čínské společnosti a jsou přítomny i v každodenním životě, byť naplno se projeví až při řešení sporu. Další důležitá oblast kulturních specifik je jejich vliv nejen pouze na průběh řešení sporu, ale také na právo jako takové. Právo je přirozeně tvořeno na základě norem platných v dané společnosti a čínské právo funguje nejinak. O to větší je překvapení a úlek zahraničních společností, když zjistí, že i tak internacionalizované metody jako rozhodčí řízení vykazují zřetelné čínské rysy a činí ho tak pro lidi ze Západu méně pochopitelným. Tato práce si klade za cíl osvětlit vztah mezi popsanými kulturními specifiky a právem se zřetelem na rozhodčí řízení a ADR.

Abstract:

Thesis „Arbitration and Cultural Specifics - Case of China“ is adressing an extremely actual, but slightly neglected problem. Cultural influence on the process of the international business transactions is clearly identifiable, alas not exemined thoroughly. Abundance of literature devoted to the making „art of the deal“ is focusing on China and it's cultural environment, but only a few publications are solving troublesome relation between dispute settlement and influence of cultural specifics. Chinese culture has long and rich history and although it might to the untrained observer appear westernised, it still maintains strong regional specifics. China's rapidly growing economy attracted numerous Western companies. Many of those who were lured into China under the impression of „easy money“ happened to be victims of bad investment decision and faced important question – how to efficiently resolve dispute with their Chinese counterparts? When dealing with Chinese, one must take into account not only contract's provisions and substantive law, but also specifics of Chinese culture, which have significant influence on the process and consequent result of the dispute. Terms like guanxi and Face are integral part of Chinese society and even everyday situations are under the influence of theirs, but they surface even more powerful when it comes to a dispute settlement. Another important chapter of cultural specifics is influence of these norms and habits not only on the conduct of the dispute settlement process itself, but also on the actual provisions of law. Law is naturally shaped accordingly to the norms valid in the society and is only natural that Chinese law is working the same way. Greater the surprise and dismay of foreign businessmen when they find out, that even such internationalised processes like arbitration are showing distinct Chinese features which are making it less understandable to the Westerners. This thesis is aiming at illuminating relation between discussed cultural specifics and substantive law with respect for arbitration and ADR.
