Abstract:

Předmětem diplomové práce je příprava a přeměna státního podniku Česká pošta na akciovou společnost. Práce je zpracována ve dvou liniích. První linie je zaměřena na stránku managementu, konkrétně organizační strukturu České pošty, s. p. jak výchozí tak nově vznikající včetně samotného organizování a návrhu úpravy organizační struktury po vytvoření akciové společnosti. Druhá je zaměřena na transformaci státního podniku na akciovou společnost z hlediska zákona. Tyto dvě části jsou hlavním cílem diplomové práce. V souladu s cílem této práce je teoreticko-metodologická část zaměřena na základní manažerskou činnost „organizování“ a jednotlivé typy organizačních struktur. Dále pak v této části popisuji typologie podniků (státní podnik, akciová společnost) a přeměnu státního podniku, která se řídí zákonem 92/1991Sb. o podmínkách převodu majetku státu na jiné osoby. Praktická část je zaměřena na popis nové právě vznikající organizační struktury, návrh úpravy a změny organizační struktury po přeměně České pošty, s. p. na akciovou společnost včetně popisu výhod a přínosů, které z těchto úprav plynou. Další kapitolou aplikační části je návrh možné transformace státního podniku Česká pošta na akciovou společnost včetně všech zákonných povinností, které musí Česká pošta, s. p. splnit při transformaci včetně základního transformačního projektu.

Abstract:

The subject of this thesis is the preparation and transformation of the state-owned company Česká pošta into a joint-stock company. Work is processed in two lines. The first line is focused on management; specifically the organizational structure of Česká pošta, s. p., both existing and emerging, including the organization and proposed modifications to the organizational structure following the establishment of the joint-stock company. The second line is aimed at transforming the state enterprise into a limited company in terms of the Act. These two parts are the main objectives of this thesis. In line with the objective of this work the theoretical and methodological part focuses on basic business management "organization" and different types of organizational structure. Furthermore, it describes the types of enterprises (state-owned enterprise, joint-stock company) and the transformation of the state-owned company, which is governed by the law 92/1991Sb. on the conditions for the transfer of state property to other persons. The practical part is focused on a Transformation Programme. It contains a description of the emerging new organizational structure and the design of modification and change to the organizational structure after conversion of Česká pošta, s. p. into a joint stock company, including a description of the advantages and benefits that result from these adjustments. Another part of the chapter is a proposal to transform the state enterprise Česká pošta into a joint-stock company, including any legal obligations that Česká pošta, s. p. must comply with during transformation.
