Information Protection in the European Context

Abstract:

Cílem práce je zachytit nejdůležitější obchodně-právní instituty, jež jsou spjaty s právem na informace. Úvod je zaměřen zejména na pochopení termínu informace. Informace je třeba chápat jako psychologický jev či proces. Podle této definice informace vzniká nezávisle na nás a kterou zachycujeme vědomě i nevědomě. První kapitola se již zaměřuje na samotné právo na informace jako základní lidské právo, na jeho osobní rozsah, což představuje okruh osob, kterým oprávnění přísluší a věcný rozsah, kterým rozumíme okruh informací, na jejichž poskytnutí má subjekt oprávnění nárok. Druhá kapitola upravuje ochranu informací prostřednictvím ochrany osobnosti. Jedná se o ustanovení § 11 Občanského zákoníku. Následující kapitola již pojednává o obchodním tajemství, které je vymezeno v §17 a násl. Obchodního zákoníku. Obchodní tajemství tvoří veškeré skutečnosti obchodní, výrobní či technické povahy souvisejících s podnikem, které mají skutečnou nebo alespoň potenciální materiální či nemateriální hodnotu, nejsou v příslušných obchodních kruzích běžně dostupné, mají být dle vůle podnikatele utajeny a podnikatel odpovídajícím způsobem jejich utajení zajišťuje. Tato část vymezuje také obchodní tajemství ve vztahu k know-how, bankovnímu tajemství a zakotvuje problematiku ochrany obchodního tajemství v řízení před Evropskou komisí. Kapitola IV upravuje problematiku bankovního tajemství, které nalezneme v Zákoně o bankách. Tato část pojednává o bankovních obchodech, povinnosti mlčenlivosti a dále pak o ochraně bankovního tajemství v případě postoupení pohledávky. Na problematiku bankovního tajemství navazuje kapitola týkající se insider tradingu. V českém právním řádu je definice vnitřní informace obsažena v zákoně č. 256/2004 Sb., o podnikání na kapitálovém trhu (dále jen „ZPKT“) s účinností od 1. května 2004. Reagoval tak na novou evropskou legislativu – na Směrnici č. 2003/6/ES o využívání vnitřních informací a manipulaci s trhem, o které pojednává následující kapitola. Tato nás blíže seznámí s evropskou úpravou insider tradingu.

Abstract:

The aim of the work is not to exhaust all the ways of the protection of information in accordance with the Czech law or European law. The purpose of this work was to cover all important legal issues connecting with the right to information. Work is divided into six chapters. The introduction gives us the definition of information. The most important theory of information is the theory of the psychological process. In accordance with this information theory is result of the cognitive process. The first chapter focuses on the right of information as a right guaranteed by the Constitution of the Czech Republic, mainly by the Charter of Rights and Freedom. This part explains a personal and material scope of the right to information. Personal scope means subjects who are entitled to use this right to information. Material scope represents the scope of information to which subjects are entitled to use. In accordance with the Article 17 of the Charter of Rights and Freedom everyone has right to information without relation to age, sex, nationality or confession. Chapter II deals with the protection of information through the protection of personal rights, i.e. personal security according to the Section 11 of the Civil Code. Next chapter concerns with the trade secret which is regulated in Section 17 of the Commercial Code. Trade secret includes all trade, productive or technical issues connected with the business, which has real or potential value and is not known in business society and entrepreneur intends to keep it in secret. This chapter determines a relation between trade secret and know-how or bank secret and contains also proceeding at European Commission. Following part discusses bank secret according to the Bank Code. It focuses on the bank transactions, duty of non-disclosure and bank secret in relation to cession of the receivables. Following part deals with the problem of insider trading. This issue is regulated by the Capital Market Act (Zákon o podnikání na kapitálovém trhu). Finally, Chapter VI describes the European regulation of insider trading, mainly the regulation of Directive of European Commission.
