Initial public offering as source of corporate financing

Abstract:

Práce je zaměřena na proces primární emise akcií neboli IPO (Initial Public Offering) v České republice jako zdroj financování akciové společnosti. Jsou zde popsány důvody pro její realizaci, výhody, nevýhody, základní předpoklady, jednotlivé fáze přípravy a výběru partnerů a samotné realizace IPO. V práci jsou uvedeny základní informace o podmínkách pro přijetí emise na Burzu cenných papírů Praha a.s. a nastíněny možné příčiny nízkého zájmu o IPO v ČR. Celý proces je zdokumentován na příkladu primární emise akcií developerské společnosti ECM REI A.G. Pro srovnání jsou uvedeny základní informace o jiných uskutečněných IPO na českém kapitálovém trhu a zhodnocení úspěšnosti z pohledu emitentů a investorů. Cílem práce je popsat, analyzovat a vyhodnotit celý proces primární emise akcií, zhodnotit jaké jsou její přínosy pro podnik a pro investory.

Abstract:

This bachelor thesis describes process of initial public offering of shares (IPO) in Czech Republic as a source of corporate financing. It shows reasons for realization of IPO, it´s advantages and disadvantages, basic assumptions, particular phases of IPO, preparation and selection of partners and realization itself. In the thesis there are listed main conditions for accepting shares by Prague stock exchange and outlined possible reasons for low interest in Czech IPO. The whole process is documented on IPO of developer ECM REI A.G. On comparison there are listed other IPOs realized in Czech capital market and analyzed in terms of success from company´s and investor´s side of view. Purpose of this thesis is to describe, analyze and assess the IPO process, it´s benefits for the company and for investors.
